These Terms of Service (the “Terms”) govern your access to and use of the websites, applications, software, data products, analytics, tools, simulations, content, and other services made available by Future Global, Inc., a Delaware corporation (“Future,” “we,” “us,” or “our”), including any services offered under the “Future” brand (collectively, the “Services”).

Please read these Terms carefully. By accessing or using the Services, creating an account, or otherwise indicating your acceptance of these Terms, you agree to be bound by them. If you do not agree, do not access or use the Services.

IMPORTANT: FUTURE CURRENTLY PROVIDES INFORMATIONAL, ANALYTICAL, RESEARCH, DATA, AND SIMULATION TOOLS. FUTURE DOES NOT CURRENTLY OFFER, BROKER, EXECUTE, CLEAR, SETTLE, OR CUSTODY REAL-MONEY FINANCIAL INSTRUMENTS THROUGH THE SERVICES. 1. Eligibility and Geographic Availability

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.

By accessing or using the Services, you represent and warrant that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into these Terms;
  • your access to and use of the Services is lawful in the jurisdiction in which you are located; and
  • you are not prohibited from accessing or using the Services under applicable law.

If you use the Services on behalf of a company, fund, institution, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes both you and the organization.

Geographic Availability

Future operates a globally accessible information and analytics service, but the availability of particular Services, features, data, or functionality may vary by country or jurisdiction.

Future does not represent that the Services or any particular feature are appropriate, lawful, or available in every jurisdiction.

We may restrict, block, suspend, or discontinue access to some or all of the Services in any jurisdiction or for any user where we reasonably determine that doing so is necessary or appropriate because of:

  • applicable law or regulation;
  • sanctions or trade restrictions;
  • regulatory requirements;
  • restrictions imposed by data providers, licensors, or other third parties;
  • legal or compliance risk; or
  • other legitimate business, security, or operational considerations.

You may not use a virtual private network, proxy, false information, or other means to circumvent a geographic restriction that Future has deliberately imposed.

You are responsible for determining whether your use of the Services is lawful in your jurisdiction.

2. The Services

Future is developing tools intended to help users understand, analyze, compare, and interact with real estate markets and related economic and financial information.

Depending on the features available to you, the Services may include:

  • real estate market data and analytics;
  • city, metropolitan, neighborhood, regional, national, or other real estate indices;
  • third-party indices, market data, economic data, demographic data, property data, transaction data, and other datasets;
  • indicators derived from underlying data, including technical, fundamental, statistical, economic, or proprietary indicators;
  • indicators such as momentum measures, relative strength index (“RSI”), moving average convergence/divergence (“MACD”), volatility measures, valuation measures, market breadth, correlations, attribution analyses, and similar analytics;
  • rankings, scores, classifications, comparisons, or other assessments of cities, markets, neighborhoods, assets, or datasets;
  • charts, visualizations, dashboards, research, commentary, and market information;
  • tools that allow users to create, modify, compare, or analyze custom baskets, indices, portfolios, watchlists, or combinations of markets or data;
  • simulations, hypothetical portfolios, paper trading, simulated trading, games, competitions, or other experiences involving fictional or virtual funds;
  • artificial intelligence and machine-learning features that generate analyses, explanations, summaries, classifications, forecasts, observations, or other outputs;
  • historical analyses and backtests;
  • alerts, notifications, watchlists, or related tools; and
  • other informational, analytical, research, experimental, or educational functionality.

We may add, modify, suspend, or discontinue features of the Services at any time.

3. Information and Analytics Only

Unless we expressly state otherwise in a separate written agreement, the Services are provided for informational, analytical, research, educational, and entertainment purposes only.

Future is not acting as your:

  • investment adviser;
  • financial adviser;
  • broker or dealer;
  • commodity trading adviser;
  • futures commission merchant;
  • swap dealer;
  • exchange;
  • clearinghouse;
  • bank;
  • lender;
  • insurer;
  • fiduciary;
  • real estate broker;
  • real estate appraiser;
  • tax adviser;
  • accounting adviser; or
  • legal adviser.

Nothing provided through the Services constitutes or should be construed as individualized investment, financial, trading, legal, tax, accounting, real estate, or other professional advice.

Future does not undertake to determine whether any investment, transaction, strategy, market, city, property, asset class, position, or course of action is appropriate for you.

You are solely responsible for conducting your own research, obtaining appropriate professional advice, and making your own financial and other decisions.

4. No Offer, Solicitation, Recommendation, or Execution

Nothing in the Services constitutes an offer to sell, a solicitation of an offer to buy, or an offer or recommendation to enter into any security, derivative, swap, futures contract, commodity interest, real estate investment, financial product, or other transaction.

References to being “long,” “short,” “bullish,” “bearish,” “overbought,” “oversold,” “undervalued,” “overvalued,” or similar terminology are analytical or descriptive and do not constitute a recommendation that any person enter into any position or transaction.

Rankings, signals, scores, indicators, model outputs, AI-generated analyses, and similar information should likewise not be interpreted as recommendations.

Unless and until Future separately launches appropriately structured real-money financial services, the Services do not enable you to execute real-money trades through Future.

5. Simulated and Paper Trading

Certain Services may allow you to participate in simulated or paper trading using virtual, fictional, or otherwise non-monetary funds.

5.1 No Real Assets

Virtual funds:

  • have no monetary value;
  • cannot be withdrawn or redeemed for cash;
  • do not represent deposits;
  • do not represent ownership of real estate or another asset;
  • are not securities or financial instruments;
  • are not insured by the FDIC, SIPC, or any other governmental or private insurance program; and
  • may be modified, reset, removed, or discontinued by Future.

A simulated position does not create a legally enforceable right to acquire or dispose of any corresponding real-world asset or financial instrument.

5.2 Hypothetical Results

Simulated and hypothetical results have significant limitations.

Simulation may not reproduce actual market conditions, liquidity, spreads, market impact, transaction costs, taxes, execution delays, financing costs, funding rates, borrowing constraints, slippage, counterparty risk, regulatory restrictions, emotional decision-making, or other factors involved in actual investing or trading.

Historical or simulated performance is not indicative of future results.

A strategy that appears profitable in a simulation, model, or backtest may perform differently or lose money in real-world conditions.

5.3 Simulation Rules

Future may establish or modify rules governing simulations, including virtual account balances, pricing conventions, leverage assumptions, market hours, execution mechanics, scoring, ranking methodologies, and competition rules.

Such rules may differ materially from real-world markets.

6. Real Estate Indices, Indicators, Rankings, and Analytics

The Services may contain proprietary or third-party indices, benchmarks, indicators, rankings, comparisons, market statistics, and other analytics.

These outputs may rely on assumptions, sampling, estimates, statistical methods, smoothing, interpolation, extrapolation, normalization, weighting, adjustments, proxies, modeled values, incomplete datasets, historical relationships, or proprietary methodologies.

Real estate presents particular measurement challenges, including infrequent transactions, heterogeneity among properties, reporting delays, revisions, geographic differences, changing property composition, limited transaction samples, appraisal differences, and differences among data sources.

As a result:

  • an index may not reflect the price at which any particular property could be bought or sold;
  • an index may differ from other measures of the same market;
  • different methodologies may produce materially different results;
  • recent market conditions may not yet be reflected in available data;
  • historical values may later be revised;
  • indicators calculated from an index may amplify or inherit limitations in the underlying data; and
  • a market ranking or comparison may change depending on methodology, time period, weighting, assumptions, or available data.

You should evaluate the applicable methodology and underlying assumptions before relying on an index or analytical output.

7. Custom Baskets and User-Configured Indices

The Services may allow you to construct custom baskets, portfolios, indices, benchmarks, combinations, or other analytical groupings.

These tools are provided for informational and analytical purposes. Future does not endorse a user-created basket merely because the Services allow it to be created or displayed.

A custom basket may be economically incoherent, highly concentrated, statistically unreliable, based on incomplete data, inappropriate for a particular purpose, or otherwise misleading.

You are responsible for understanding the methodology, components, assumptions, weighting, and limitations of anything you create using the Services.

8. Artificial Intelligence and Automated Analysis

Some portions of the Services may use artificial intelligence, machine learning, statistical models, large language models, automated decision systems, or similar technologies (“AI Features”).

AI Features may analyze data, indicators, market conditions, user requests, historical information, or other inputs and may generate summaries, observations, explanations, classifications, estimates, comparisons, forecasts, or other content.

8.1 AI Can Be Wrong

AI-generated content may:

  • be inaccurate;
  • contain mathematical or factual errors;
  • misinterpret data;
  • rely on outdated information;
  • omit material information;
  • misstate causal relationships;
  • generate unsupported conclusions;
  • overstate confidence;
  • fail to identify relevant limitations; or
  • otherwise produce misleading results.

You should not assume that an AI-generated response has been reviewed or verified by a human.

8.2 Verify Important Information

You are responsible for independently verifying information before relying on it for any material financial, business, legal, real estate, or other decision.

Do not use AI-generated content as a substitute for professional judgment.

8.3 Automated Outputs Are Not Recommendations

An AI-generated statement that a city or market appears “attractive,” “unattractive,” “overvalued,” “undervalued,” “bullish,” “bearish,” “high risk,” “low risk,” or similar does not constitute individualized investment advice or a recommendation.

9. Third-Party Data and Content

The Services may incorporate, display, process, analyze, transform, summarize, or derive information from third-party sources.

Third-party information may include:

  • real estate transaction data;
  • listing data;
  • property information;
  • government records;
  • economic statistics;
  • demographic information;
  • market prices;
  • benchmark or index data;
  • interest rates;
  • geographic data;
  • news or research;
  • data obtained through APIs; and
  • information supplied by licensors, vendors, exchanges, governmental agencies, industry organizations, data aggregators, or other sources.

Future does not control all third-party information and cannot guarantee its accuracy, completeness, availability, timeliness, or continued availability.

Third parties may revise historical data, change methodologies, impose usage restrictions, experience outages, terminate access, or provide inaccurate information.

Future may be required to remove, modify, delay, restrict, or discontinue third-party data without notice.

Third-party data remains subject to any applicable rights of its owners and licensors.

10. Data Delays and Revisions

Information available through the Services may not be real time.

Data may be delayed by minutes, days, weeks, months, or longer depending on the source and type of information.

Real estate transactions may be recorded or become available materially after the economic transaction occurred. Government and economic data may be preliminary and later revised.

The display of a date, timestamp, “latest” value, or similar label does not guarantee that no more recent information exists.

11. Methodologies May Change

Future may develop and modify methodologies used for its indices, indicators, classifications, rankings, simulations, models, and other analytics.

Changes may include:

  • data sources;
  • geographic definitions;
  • inclusion criteria;
  • weighting;
  • normalization;
  • seasonal adjustments;
  • outlier treatment;
  • smoothing;
  • statistical procedures;
  • calculation frequency;
  • historical backfills;
  • estimation techniques; and
  • other methodology components.

Future may apply methodology changes prospectively, retrospectively, or both.

Historical values may therefore change.

Unless expressly stated otherwise, Future is not obligated to preserve any particular methodology indefinitely.

12. Forecasts and Forward-Looking Information

The Services may contain forecasts, estimates, projections, scenarios, expectations, implied probabilities, or other forward-looking information.

Forward-looking information is inherently uncertain.

Actual results may differ materially because of interest rates, credit conditions, economic conditions, employment, migration, construction, supply and demand, legislation, regulation, taxation, natural disasters, climate conditions, geopolitical events, local policies, technological changes, demographic shifts, market sentiment, and numerous other factors.

Future does not guarantee that any forecast, projection, scenario, or expectation will occur.

13. Past Performance

Past performance, historical appreciation, historical volatility, historical correlations, backtests, or other historical observations are not guarantees or necessarily reliable indicators of future results.

Relationships among markets and variables may change.

14. Accounts and Account Security

You may be required to create an account to use certain Services.

You agree to:

  • provide accurate and current information;
  • maintain the confidentiality of your credentials;
  • use reasonable measures to secure your account;
  • promptly update inaccurate account information; and
  • promptly notify Future if you believe your account has been compromised.

You are responsible for activity occurring through your account to the extent permitted by applicable law.

You may not sell, transfer, sublicense, or provide your account credentials to another person.

15. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms.

You may not:

  • access or use the Services in violation of law;
  • attempt to gain unauthorized access to the Services or another user's account;
  • interfere with or disrupt the Services;
  • circumvent usage limits, security mechanisms, or access controls;
  • introduce malware or malicious code;
  • scrape, crawl, harvest, bulk-download, or systematically extract data except as expressly permitted by Future;
  • reverse engineer, decompile, or attempt to discover source code, models, methodologies, or non-public algorithms except where applicable law prohibits such restrictions;
  • use bots or automated means to access the Services except through interfaces expressly authorized by Future;
  • reproduce, redistribute, sublicense, sell, rent, publish, commercialize, or create a competing database or service using Future Content without authorization;
  • remove copyright, trademark, attribution, watermark, source, or proprietary notices;
  • impersonate another person or misrepresent your affiliation;
  • manipulate a simulation, competition, ranking, or other feature;
  • use the Services to engage in fraud, market manipulation, deceptive conduct, or unlawful financial activity;
  • attempt to derive personal information concerning another user;
  • use the Services in a way that infringes intellectual property, privacy, publicity, contractual, or other rights; or
  • use the Services for purposes that materially exceed any applicable license or subscription.

We may investigate suspected violations and suspend or terminate access.

16. Intellectual Property

The Services, including their software, interfaces, designs, branding, text, graphics, charts, research, compilations, methodologies, calculations, proprietary indices, indicators, rankings, databases, models, and other content developed by or for Future (“Future Content”), are owned by Future or its licensors and are protected by intellectual-property and other laws.

Subject to these Terms, Future grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purposes.

No rights are granted except those expressly stated.

“Future,” the Future logo, and related names, marks, and branding are trademarks or service marks of Future or its affiliates. You may not use them without permission.

17. User Content

The Services may allow you to submit text, prompts, comments, configurations, custom baskets, watchlists, feedback, or other content (“User Content”).

You retain ownership of your User Content to the extent you own it.

You grant Future a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, transmit, display, and otherwise use User Content as reasonably necessary to operate, secure, improve, and provide the Services and as otherwise described in our Privacy Policy.

You represent that you have the rights necessary to submit your User Content.

Do not submit confidential information, trade secrets, personal information relating to third parties, or other information that you are not authorized to provide.

18. Feedback

If you provide ideas, suggestions, recommendations, or other feedback regarding the Services, Future may use that feedback without restriction or compensation to you, subject to applicable law.

The Services may link to or integrate with third-party websites, applications, services, APIs, or platforms.

Future is not responsible for third-party services, their content, availability, security, terms, or privacy practices.

Your use of third-party services may be governed by separate terms between you and the relevant third party.

20. Experimental and Beta Features

We may identify certain Services as beta, preview, experimental, early access, prototype, or similar.

Such features may be incomplete, unreliable, inaccurate, or discontinued without notice.

You use them at your own risk.

21. Communications

By providing contact information, you agree that Future may send you transactional or service-related communications, including account notices, security alerts, policy updates, and operational communications.

Where permitted by law and subject to applicable consent requirements, we may also send marketing communications. You may opt out of marketing communications using the mechanism provided in the communication.

Opting out of marketing does not prevent us from sending necessary service-related communications.

22. Fees and Paid Services

Certain Services may currently be free and others may become subject to fees.

If Future introduces paid Services, applicable pricing, billing terms, renewal terms, cancellation terms, and other material conditions will be presented before you incur a charge.

Unless otherwise stated, fees do not include applicable taxes.

23. Suspension and Termination

You may stop using the Services at any time.

Future may suspend, limit, or terminate your access if:

  • you violate these Terms;
  • your use creates security, legal, regulatory, reputational, or operational risk;
  • we are required to do so by law or a third party;
  • you misuse the Services; or
  • we discontinue the applicable Service.

Where appropriate, we may provide notice, but we are not obligated to provide notice where immediate action is reasonably necessary.

Provisions that by their nature should survive termination will survive, including intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.

24. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Future and its affiliates, officers, directors, employees, contractors, licensors, and service providers disclaim all warranties, express, implied, or statutory, including warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • title;
  • non-infringement;
  • accuracy;
  • completeness;
  • timeliness;
  • reliability;
  • availability;
  • security; and
  • uninterrupted operation.

Without limiting the foregoing, Future does not warrant that:

  • any data is accurate or complete;
  • any calculation is free of error;
  • any indicator or model is reliable;
  • any AI-generated output is correct;
  • any index accurately represents a particular market;
  • any ranking or comparison is objectively correct;
  • any historical result can be replicated;
  • any simulation reflects actual trading conditions;
  • any forecast will occur;
  • the Services will always be available; or
  • errors will be corrected.

Some jurisdictions do not permit certain warranty exclusions, so some of the foregoing may not apply to you.

25. Your Decisions and Risk

You assume responsibility for decisions you make based on the Services.

Future is not responsible for losses resulting from your decision to purchase, sell, hold, finance, hedge, develop, rent, lease, value, or otherwise transact in any real estate, security, financial instrument, business, or other asset based on information obtained through the Services.

You should independently verify material information and consult qualified professionals where appropriate.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUTURE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, INVESTMENT VALUE, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, the aggregate liability of Future and the foregoing parties for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:

  1. the amount you paid Future for the Services during the twelve months immediately preceding the event giving rise to the claim; or
  2. US$100.

The foregoing limitations do not apply to liability that cannot legally be excluded or limited.

27. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Future and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your unlawful or unauthorized use of the Services;
  • your material violation of these Terms;
  • your User Content;
  • your infringement of another person's rights; or
  • fraud or willful misconduct by you.

This section does not require you to indemnify Future for conduct for which indemnification cannot lawfully be required.

28. Changes to the Services

Future is building and evolving its products.

We may modify, add, remove, restrict, suspend, or discontinue any aspect of the Services, including datasets, calculations, indicators, methodologies, simulation mechanics, AI models, functionality, or access levels.

We are not obligated to maintain backward compatibility with any particular feature or methodology.

29. Changes to These Terms

We may update these Terms from time to time.

If a change is material, we may provide notice through the Services, by email, or through another reasonable method.

The updated Terms will state their effective date.

Your continued use of the Services following the effective date of updated Terms constitutes acceptance where permitted by law. Where applicable law requires affirmative consent, we will request it.

30. Governing Law

Except as otherwise required by applicable law, these Terms and any dispute arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

31. Dispute Resolution and Arbitration

Please read this section carefully. It affects how disputes between you and Future are resolved and includes a waiver of class actions and a waiver of jury trial, to the extent permitted by law.

31.1 Informal Resolution First

Except for (a) disputes that qualify for small-claims court and (b) requests for temporary, preliminary, or other injunctive or equitable relief relating to intellectual-property rights or unauthorized access to the Services, you and Future agree to attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) informally before commencing arbitration or other formal proceedings.

To begin informal resolution, the complaining party must send written notice to the other party describing the Dispute and the requested relief. You may send notice to support@futureofreal.com with the subject line “Dispute Notice.” Future may send notice to the email address associated with your account (if any).

The parties will have 30 days from receipt of a compliant notice to attempt resolution. If the Dispute is not resolved within that period, either party may proceed as set out below.

31.2 Binding Individual Arbitration

If a Dispute is not resolved informally, either party may elect binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, if those rules are unavailable or inapplicable, under AAA rules most nearly applicable), as modified by this Section 31.

This arbitration agreement is governed by the Federal Arbitration Act. The arbitrator, not a court, will have exclusive authority to resolve disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court may decide (i) whether you timely opted out under Section 31.6 and (ii) whether a claim may proceed in small-claims court.

Arbitration will be conducted on an individual basis only. The arbitrator may award the same damages and relief that a court could award to an individual, including temporary or permanent injunctive relief in favor of the individual party seeking that relief.

Unless you and Future agree otherwise:

  • the arbitration may be conducted by telephone, video, or based on written submissions;
  • if an in-person hearing is required, it will take place in New Castle County, Delaware, or in the U.S. county (or parish) of your residence, at your election if you are an individual consumer; and
  • the language of the arbitration will be English.

Payment of filing, administration, and arbitrator fees will be governed by the AAA Consumer Arbitration Rules. If those rules require Future to pay certain fees for consumer arbitrations, Future will do so. Each party will bear its own attorneys’ fees and costs unless the arbitrator awards otherwise under applicable law or the AAA rules.

31.3 Class Action Waiver

YOU AND FUTURE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding, except as provided in Section 31.4.

If a court or arbitrator determines that the class-action waiver in this Section 31.3 is unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that claim or request for relief) must be severed and brought in court, and this arbitration agreement will continue to apply to all remaining claims.

31.4 Mass Arbitration

If 25 or more similar Demands for Arbitration are filed against Future by or with the assistance of the same law firm or coordinated group of law firms within a 90-day period, AAA’s mass-arbitration or supplementary procedures (if any) will apply to the extent consistent with this Section 31. If AAA has no applicable mass-arbitration procedures, the parties will cooperate in good faith to establish a staged process (for example, bellwether proceedings) to efficiently resolve the Demands. Nothing in this Section 31.4 permits class or representative arbitration.

31.5 Exceptions

Notwithstanding the foregoing:

  1. Either party may bring an individual action in small-claims court if the claim qualifies and remains in that court.
  2. Either party may seek temporary, preliminary, or other injunctive or equitable relief in a court of competent jurisdiction to protect intellectual-property rights or to address unauthorized access to, or misuse of, the Services, without first engaging in informal resolution or arbitration.
  3. If this arbitration agreement is found unenforceable as to a Dispute in its entirety, Section 31.7 (court venue) will apply to that Dispute.

31.6 Opt-Out

You may opt out of the arbitration agreement in this Section 31 by sending written notice to support@futureofreal.com with the subject line “Arbitration Opt-Out” within 30 days after you first accept these Terms (or any updated Terms that materially expand this arbitration agreement).

Your notice must include your name, the email address associated with your account (if any), and a clear statement that you opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms, including the class-action waiver to the extent it may independently apply, or the informal-resolution requirement for Disputes you do not take to small-claims court.

31.7 Court Venue; Jury Trial Waiver

If a Dispute proceeds in court rather than arbitration (including because you opted out, an exception applies, or the arbitration agreement is unenforceable as to that Dispute), you and Future consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, except that (a) small-claims actions may be brought in a small-claims court of competent jurisdiction and (b) applicable consumer-protection laws may give you additional rights regarding venue.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND FUTURE WAIVE ANY RIGHT TO A JURY TRIAL.

32. Export Controls and Sanctions

You may not use the Services in violation of applicable export-control, sanctions, or trade-restriction laws.

You represent that your access to the Services is not prohibited by applicable law.

33. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms expressly applicable to particular Services, constitute the agreement between you and Future concerning the Services.

If a provision is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

Future's failure to enforce a provision is not a waiver.

You may not assign these Terms without Future's prior written consent. Future may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or by operation of law, subject to applicable law.

Headings are for convenience only.

Nothing in these Terms creates a partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and Future.
